How do you prepare for an R&D tax credit audit?
You prepare for an R&D credit examination by building contemporaneous documentation as the work happens — not after a notice arrives. The IRS evaluates the credit at the business-component level, so for each component you should be able to show who performed the research, what they did, why the outcome was technically uncertain, how they experimented, and how much it cost.
In an exam, the examiner issues an IDR (Information Document Request) asking for project lists, time and payroll detail, contracts, and technical records. Responding completely, on time, and in an organized package is what keeps an audit short. Refund claims on amended returns carry an extra bar: the IRS requires five specific items — the business components, the activities performed, who performed them, what information each sought to discover, and the total qualified expenses — before the claim is valid.

Contemporaneous Documentation Is the Foundation
"Contemporaneous" means created during the project, not reconstructed years later. The strongest records tie financial data to technical work at the business-component level:
| Category | Examples |
|---|---|
| Financial | Payroll registers, time tracking, supply invoices, cloud/computer receipts, contractor agreements |
| Technical | Project plans, design docs, test results, prototypes, source control history, tickets |
| Four-part test | Notes on the uncertainty faced and the alternatives evaluated through experimentation |
| Calculation | Form 6765 workpapers, QRE allocations, and the nexus between expenses and components |
See the business components guide for how to structure records by component.
The Five Items Required for Refund Claims
For R&D credit refund claims on amended returns, the IRS requires this specific information for the claim to be considered valid:
- Identify all business components to which the credit relates.
- Identify all research activities performed for each business component.
- Identify all individuals who performed each research activity.
- Identify all information each individual sought to discover.
- Provide the total qualified employee wage, supply, and contract research expenses (consistent with Form 6765).
Responding to an IRS IDR
When an examination begins, the examiner issues one or more IDRs. A disciplined response keeps the audit efficient:
- Read the scope carefully and clarify ambiguous requests before responding.
- Map each request to the documentation you already have, organized by business component and year.
- Respond by the deadline with a complete, indexed package rather than piecemeal files.
- Provide a clear narrative connecting QREs to qualified activities and the four-part test.
- Track every submission so you have a record of what was provided and when.
Audit-Readiness Checklist
- Document business components and activities as the work happens.
- Maintain time tracking or a reasonable allocation method for research wages.
- Keep contracts that establish risk and rights for any contract research.
- Retain technical artifacts (designs, tests, source history) showing experimentation.
- Preserve Form 6765 workpapers and QRE-to-component nexus.
- Capture the five required items for any refund claim.
- Store records for the full statute of limitations, including carryforward years.
